Agreements & Pricing

Buyer agrees to purchase the above-described puppy at the price documented on the accompanying Clockwork Puppies LLC Invoice, reflecting the dog's color, genetics, and structure per the Clockwork Pricing Guide.

Pricing reflects the dog's color, coat genetics, structure, and program value per the Clockwork Puppies LLC Pricing Guide. Final purchase price is confirmed at time of invoice.

Buyer agrees to:

• 20% of full purchase price as down payment
• Minimum of $300 per month
• Maintain consistent monthly payments

Target Payoff: Buyer agrees to make best effort to pay full amount within 12 months. Any remaining balance is due no later than the agreed date unless extended in writing.

This sale is strictly a pet-only purchase. No breeding rights are granted under this Agreement.

Ownership remains with Clockwork Puppies LLC until paid in full. Full ownership and AKC certifications will be transferred to Buyer within 30 days of completed payment.

Default includes:

• Missed payments exceeding 30 days
• Failure to communicate
• Breach of care standards

Buyer must have puppy examined by a licensed veterinarian within 72 hours of transfer. Failure to do so voids any health guarantee. Seller guarantees puppy is in good health at time of transfer.

Buyer agrees to maintain vaccinations, routine veterinary care, and proper nutrition throughout the life of the dog.

Dog may not be rehomed or transferred without written consent from Clockwork Puppies LLC. Clockwork Puppies LLC retains first right of return.

Clockwork Puppies LLC reserves the right to request proof of care and conduct check-ins if payments are not made on schedule.

In the event of breach, Clockwork Puppies LLC may suspend or terminate the agreement and pursue applicable legal remedies under New Mexico law.

This Agreement is governed by the laws of the State of New Mexico. Jurisdiction: Bernalillo County.

Purchase price reflects full breeding rights and is determined per the Clockwork Pricing Guide — case by case based on the dog's color, genetics, structure, and program value.

Breeding rights pricing reflects the dog's genetic value, color rarity, and structure. Final purchase price confirmed at time of invoice and is non-negotiable once agreed upon in writing.

Payment Terms: Buyer agrees to minimum 20% down payment, minimum $300/month, consistent monthly payments. Target payoff within 12 months. Final balance due no later than agreed date unless extended in writing by Seller.

This sale includes full ownership and full breeding rights.

• Buyer receives full control of the dog upon completion of payment
• AKC registration and breeding rights transferred within 30 days of final payment
• Buyer assumes full responsibility for all decisions after transfer

This Agreement grants the Buyer full breeding rights; however: Buyer agrees not to represent themselves as affiliated with Clockwork Puppies LLC or use the Clockwork Puppies name, brand, or reputation in a misleading manner. Lineage may be referenced for informational purposes only.

Ownership remains with Clockwork Puppies LLC until paid in full. Seller retains rights to reclaim dog in case of default. No refunds will be issued on prior payments in case of default.

Default includes missed payments exceeding 30 days, failure to communicate, and breach of care standards.

Buyer must have puppy examined by a licensed veterinarian within 72 hours of transfer. Failure to do so voids any health guarantee. Seller guarantees puppy is in good health at time of transfer.

Buyer agrees to maintain vaccinations, routine veterinary care, proper nutrition, and prevent overheating and unsafe conditions. All future medical expenses are the Buyer's responsibility.

Until paid in full, dog may not be rehomed or transferred without written consent. Clockwork Puppies LLC retains first right of return.

Clockwork Puppies LLC reserves the right to request proof of care and conduct check-ins if payments fall behind. Dog must be kept in safe, clean, climate-controlled conditions.

If Agreement is breached, Clockwork Puppies LLC may suspend or terminate agreement, reclaim possession of dog, retain prior payments, and pursue financial compensation if necessary.

This Agreement is governed by the laws of the State of New Mexico. Jurisdiction: Bernalillo County.

This Agreement establishes a structured partnership for the co-investment, care, and controlled breeding of the above-described dog under the Clockwork Puppies LLC breeding program.

Market value and partnership investment split are determined at time of agreement based on the dog's genetics, color, structure, and program value per the Clockwork Puppies LLC Pricing Guide, and documented on the accompanying Investment Summary.

Default Trigger: Failure to make payments exceeding 30 days past due constitutes default.

Ownership is shared during the agreement term. Dog resides with Partner full-time. Full ownership transfers to Partner upon completion of breeding term and full payment completion.

ALL breeding must be conducted through Clockwork Puppies LLC. Clockwork retains exclusive authority over pairing decisions, timing of breeding, pricing, sales and placement, and breeding methods and execution.

Partner may choose veterinarian for routine care. During breeding term, ALL breeding-related medical decisions are under sole authority of Clockwork Puppies LLC. No procedures affecting reproductive ability may occur without written approval. Emergency care: Yucca Veterinary Medical Center (Belen, NM) when reasonably available, or nearest emergency facility. After completion, all veterinary authority transfers fully to Partner.

Partner Covers: Food, routine veterinary care, vaccinations, general health maintenance.

Clockwork Covers: Artificial insemination (AI), progesterone testing, bloodwork, breeding-related veterinary care, whelping costs.

Partner agrees to maintain: minimum 4 veterinary visits per year, proper nutrition and weight management, clean, safe, climate-controlled environment, and immediate reporting of illness or injury.

Dog shall NOT be exposed to dog parks, high-risk environments, uncontrolled public exposure, or unauthorized breeding contact with other dogs.

Partner must immediately report any condition affecting breeding capability. If impairment is caused by neglect, improper care, or unauthorized decisions, Clockwork Puppies LLC may adjust agreement terms, modify profit structure, require financial compensation, or require return of the dog.

Partner must notify Clockwork immediately and provide documentation. If negligence is determined, Partner may be liable up to the full documented market value of the dog as stated on the accompanying Investment Summary.

Partner may rename dog for personal use. All business, marketing, and breeding use remains under Clockwork Puppies LLC branding. All client-facing communication must reflect Clockwork branding.

Clockwork Puppies LLC retains full rights to all photos, videos, and media. Shared content may be used for marketing. These rights remain permanent, including after ownership transfer.

Partner agrees not to disclose contract terms, profit structure, or breeding operations. Clockwork Puppies LLC remains the sole operator of the breeding program.

Partner agrees not to start a breeding program, participate in competing operations, or use Clockwork systems or knowledge. Term: During agreement + 2 years after completion.

Partner must respond within 7 days for breeding-related communication. Failure may be considered interference.

Rehoming is NOT permitted without written consent. Clockwork Puppies LLC retains first right of return.

Partner agrees to no negative or damaging statements about Clockwork Puppies LLC, no negative social media posts, reviews, or public complaints. All concerns must be handled directly with Clockwork Puppies LLC in writing.

Default includes missed payments (30+ days), neglect or improper care, interference with breeding, and violation of contract terms. Clockwork Puppies LLC may require return of the dog, adjust financial terms, terminate agreement, withhold profits, and pursue legal remedies.

This Agreement shall be governed by the laws of the State of New Mexico.
